Interesting that near all of those 2m mvis shares that popped up to lend a couple days ago have been consumed pretty quick. The share price seems to have dropped right along with them. Coincidence? Probably not.

Nevermind.... he sold those shares,  not purchased

The third Explanation of Responses is interesting,  looks like they mis reported relating to a divorce.

This is my very out there speculation..... kinda weird they caught it now, it's almost like a bigger fish required a look at the books before proceeding with a deal

It's possible he sold those to cover taxes. Where did you get that they misreported the divorce sell?

Hard for me to follow, seems like something that should have been caught earlier, being caught now although I big stretch seems like maybe a more experienced finance group looked over the books and caught it

Also I think number 2 in green explains they were sold for tax purposes

Not being able to decipher it myself,  definitely not saying I understand,  but I've tried understanding why the correction. I'm coming up with two scenarios

First could be shit was in limbo at the time with the divorce and they weren't sure how to report, it's only now that the dust has settled mvis financial team is sorting this out.  The issue I have with this,  is you'd think they'd have resources to reach out to if they weren't sure.

Second is they reported what they believed was correct information and a review from an outside source caught it

1. Pursuant to employment agreement dated April 8, 2021, 300,000 shares were issued upon the automatic grant of fully vested RSUs in accordance with the terms of the agreement with no discretion exercised by the Reporting Person. As disclosed in the Form 8-K filed on April 8, 2024, the term of the employment agreement was extended until the new employment agreement currently being negotiated is executed by the parties.
2. Represents a nondiscretionary sell-to-cover transaction completed by the Issuer in accordance with the terms of the award agreement and the Reporting Person's previously entered into irrevocable tax withholding election.
3. Due to an administrative error, Column 5 of the Reporting Person's Form 4 ownership reports filed on March 15, 2023, April 11, 2023 and November 14, 2023, each incorrectly stated the Reporting Person's resulting beneficial ownership. The reported beneficial ownership amounts did not reflect the Reporting Person's transfer, made prior to the filing of the March 15, 2023 Form 4, of 352,362 shares pursuant to a domestic relations order. As previously disclosed in the Issuer's Proxy Statement filed April 5, 2023, the Reporting Person no longer reports as beneficially owned any securities owned by his former spouse. Pursuant to the same order, the Reporting Person also transferred stock options for a total of 187,500 shares. As corrected, Column 5, of the Form 4s filed on March 15, 2023, April 11, 2023 and November 14, 2023 should have reported 489,342 shares, 789,342 shares and 713,831 shares (in the two rows of Table I), and 723,984 shares, respectively

1.  300k shares given via contract terms, no special considerations, employer and employee agreed to continue under previous agreement until new one is settled.
2. "Non-discretionary" means it wasn't optional, "sell-to-cover" refers to obligations in this case, contractually specified tax obligations.  He sold to cover taxes per the agreement.
3. Not exactly surprising as "beneficial ownership" isn't the same as "ownership" and can get cloudy when it comes to timing, divorce agreements, etc.  Financial audits rarely audit "everything" and often just test random samples of data sets, so I would guess that Sumit's beneficial ownership is the sample data set that got audited for that category for FY23 and that's why it wasn't caught earlier being a practically meaningless (in regard to operations) figure.

It's a frightening thought - that a lifetime's worth of savings has so much counterparty risk.  It could all disappear in a flash.  I'm trying to find some ways to hedge that other than under the matress

I might do some more single premium whole life.  That would tuck some of it away neatly
