You are in the clear.  Only one party of the conversation needs to be aware.  There are small records that will easily fit in a pocket.  The only thing would be it might pick you up well but the other person even if they are screaming at a distance won't be picked up very well.  You really need an external microphone plugged into the device to get half way decent audio.

Ummm, you had better know the law in your area first.

A few years ago, my boss was being a jackass. I put a digital recorder in my pocket and recorded the ass chewing. I then listened to it a month later, after I was no longer pissed off. Much to my surprise, I was able to determine that I could control the conversation, by not letting myself be manipulated.

best solution: don't get involved.  

if you really think you will need evidence, then you need to be having this "discussion" in a lawyers office with both parties represented.  It will be cheaper in the long run vs. doing some covert hack job of a recording that could land you in hot water
