Is it legal to put a m16a1 upper on a civilian lower?Do you have to have a certain parts count?

Yes it's legal.  Parts count?  If you don't have all the parts, the rifle won't work.  There's no US parts count necessary for the rifle, unless you're talking MG parts, in which case, don't add any.

As said above.

It is okay to use an M16/M16A1 upper receiver assembly on a semiauto lower receiver.

Until rather recently ATF has been rather fuzzy about using a fullauto bolt carrier in a semiauto rifle. But for the past year or two Colt has been shipping all it's rifles, even civilian semi's, with a fullauto bolt carrier. There is no differences between a bolt used in a fullauto and one in a semiauto.

However, DO NOT use a hammer, trigger or disconnector from a fullauto parts kit. Use only those from a semiauto kit to comply with current law.
