I have a feeling this is a chess match and Elon’s letter is just warning the leftists in control of Twitter that he’s got checkmate.

I wonder if he has allies ready to snap up cheap Twitter stock when he crashes it?

ETA it isn’t just Elon that’s going to crash it- people are buying the stock right now to get the premium price if Twitter accepts the deal. If they don’t, everybody is going to dump it. Every. Body.

Still a public company. Progressive buying of shares like that, shrinks the share pool, which would cause the remaining non Elon shares to skyrocket in price.  It would be progressively more expensive for him to do that.

This is a buyout offer at a fixed price, at a fixed time.  If the majority of share holders vote for it, it’s sold.  Easier to do, plus no board of directors to deal with.

In theory, Elon could have another IPO down the road and make it a public company again.

I'm getting that feeling it's probably got 1 of 2 endings.
1)  He buys it and fixes it or at least tries hard to.
(And the media, that some people here still believe
in along with the Easter Bunny, will try to prevent him from doing that.
The MSM will make accusations and the dumbest people on this website will believe them because that's what they always do)


2)  Twitter keep fighting and throwing paper airplanes at him.
It exposes them as the Twitter woke clubhouse for liberals and friends only.
It blows up the whole narrative that they are an actual capitalistic company that is truly run for profits, and as a real town square.
It exposes their game once and for all.

It's the signal to the other 70 to 80 year old billionaires that Twitter really isn't about money Twitter is about their woke religion.  When push comes to shove Twitter will choose its religion and not money.

I have a question for the market pros here: This appears to be an offer to take the company private at a given price, rather than a normal takeover tender offer of buying 51% at a given price contingent on enough shareholders agreeing to sell. How does this process differ? What role does the board play in this? What advantage is there to doing it this way versus doing a 51% tender offer and once that is done taking it private if that's what you want to do?

He just used the fiduciary duty thing against the board.  They used it on him to try to keep him off the board, now he flipped it back on them by making an offer that no fiduciary can refuse without being sued into oblivion by shareholders.

This has now become the standard entry in the dictionary for the definition of "fuck you money"

Yes, there have been other ones - but they were often started by political people who were tech-people 2nd or 3rd. Elon's got a leg up on that.
He's also going through this process showing people, "Hey look i TRIED to work with them, I TRIED. They didn't want to fix ANYTHING."

Yes, google and apple might pull his app off the markets, but that flies when it's a "small" platform with small visibility.
Something Elon touches is dramatically more visible, they will 100% out themselves in a way more people see.
