Stupid question, but as a public company can the board force individual shareholders to sell?  I looked it up, but it would appear that it is tied with stock restrictions - but I would have assumed stock restrictions would need to be in place before the IPO.

Short answer: Yes. If enough increased value is offered, Joe Blow can be forced to sell his 2 shares.

Yes, they are. Now take half of them and they are worse. The ONLY thing saving them right now is warning labels, and nanny .gov.

I use it for investing knowledge and info. There are “communities” on Twitter like “fintwit” and “mintwit” (investing and mining stocks) that coalesce. They can be great sources of knowledge and info. There are also sub communities like “utwit” that invest in uranium and Uranium miners. Without subscribing to many multi hundred dollar newsletters you can have access to the writers and posted news and video that you just not find anywhere else on your own.

Twitter has helped me make a lot of money.

This is what doing business in many other countries is like, and now it's what it's like to do business here too.

This will be one for the books.

The board seat was actually their first attempt at trying to fend it off.

Companies like Morgan Stanley and Vanguard may support liberal values publicly, but what they really are a fan of is money.   Morgan Stanley has already said they'd help finance the transaction so that's an early sign of where they align.

Let's do this.

The part that should be sending a chill down everyone's spine is that they don't even care how obvious it is.

He's already warned them that he plans to dump his stock if they refuse.

Once the stock price crashes, he can then buy an even larger share.

It really is kind of a win-win for Musk.

Either they take his money (they'd be fools not to) and lose control of Twitter OR they say "fuck you!" and give him the out he needs to dump the stock and go start a competitor.

I honestly think they're going to tell him to fuck off.

1.  They have (or think they have) an ace in the hole in that the government will provide them regulatory cover
2.  They underestimate Musk's ability to upset "their" rice bowl with a competing business
3.  The propaganda value of Twitter is more important to them than its ability to actually make money.

As the largest single shareholder of Twitter, can he sue the board for rejecting his offer on the basis that they didn’t do their fiduciary duty and accept his offer?

Social media is a valuable tool with tremendous potential, but like any tool is dangerous if misused or abused.  Unfortunately virtually all of it has been bastardized from a revolutionary form of personal communication into a very effective mechanism for social engineering... a lot of it directed towards young folks who haven't yet accumulated enough real-life experience to recognize how much of it is horseshit.
